These Terms of Service ("Terms") govern your clinic's access to and use of Incyte, a cloud-based practice management platform operated by Web Cyte Development Inc. ("we," "us," or "our"). By activating a subscription or using Incyte, you agree to these Terms.
Web Cyte Development Inc. provides Incyte, a cloud-based practice management platform for wellness clinics in Ontario, Canada, including scheduling, clinical charting, billing, contact management, inventory management, digital product sales, and event registration features.

All plans include access to all platform features. Pricing is per clinic location.
New subscriptions include a 30-day free trial with full access to all features. No credit card is required during the trial period.
You may change your plan at any time through Business Settings. Plan changes take effect immediately and are prorated for the current billing period.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. Upon cancellation, your data will be available for export for 30 days before being permanently deleted.
You agree to use the platform only for lawful purposes and in accordance with applicable law, including PHIPA, PIPEDA, and all applicable professional regulatory requirements. You must not:
Your use of Incyte is also governed by our Privacy Policy and the Data Processing Agreement executed between your clinic and Web Cyte Development Inc. These documents form part of these Terms. You are responsible as the health information custodian under PHIPA for ensuring that your use of the platform complies with your obligations to clients.
Incyte and all its components, code, design, and documentation are the exclusive property of Web Cyte Development Inc. These Terms do not grant you any intellectual property rights in the platform beyond the right to use it as a subscriber during your subscription period.
You retain ownership of all data you input into the platform, including client records, chart notes, and billing information.
Web Cyte Development Inc. will make commercially reasonable efforts to maintain Incyte availability. We do not guarantee uninterrupted availability and are not liable for downtime caused by factors outside our reasonable control. Planned maintenance will be communicated with at least 24 hours notice where feasible.
To the maximum extent permitted by applicable law, Web Cyte Development Inc.'s total liability for any claim arising from or related to these Terms or the use of Incyte shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
Web Cyte Development Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or loss of business opportunity.
Nothing in these Terms limits liability for gross negligence, fraud, wilful misconduct, or any liability that cannot be excluded by law.
You agree to indemnify and hold harmless Web Cyte Development Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of Incyte, your violation of these Terms, your violation of applicable law, or your clinic's handling of PHI.
We may update these Terms from time to time. Material changes will be communicated to clinic administrators by email with a minimum of 30 days notice. Continued use of the platform after the effective date of updated Terms constitutes acceptance.
We may suspend or terminate your access to the platform immediately if you materially breach these Terms, fail to pay amounts owed after the grace period, or use the platform in a manner that violates applicable law.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under these Terms will be submitted to the exclusive jurisdiction of the courts of Ontario.
